By accessing or using the Service, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions
Account: The user account created by the Customer to access the Service.
Customer Data: All data, files, and documents uploaded, connected, or otherwise provided by the Customer to the Service.
Connectors: Optional integrations that allow the Customer to connect the Service to third-party tools such as Google Workspace,, Pennylane, or QuickBooks.
Subscription: The paid plan chosen by the Customer to access the Service’s features for a given period.
Third-Party Services: External services that the Customer may connect to Sanso (for example, accounting or email providers).

2. Acceptance of Terms
By creating an Account or using the Service, the Customer acknowledges that they have read, understood, and agreed to these Terms. The Service is intended for business use only. By using the Service, you represent that you are at least 18 years old (or of legal age in your jurisdiction) and authorized to act on behalf of a company or organization.
Sanso may update these Terms from time to time. The latest version will always be available on our website, and continued use of the Service constitutes acceptance of the updated Terms.

3. Description of the Service
Sanso provides online automation tools that help businesses create, collect, classify, reconcile, and manage financial documents and accounting data.
Depending on the Customer’s configuration, the Service may include optional integrations (“Connectors”) with third-party platforms such as Google Workspace, Pennylane, QuickBooks, or other systems.
The Service is provided as-is and may evolve over time, including the addition, modification, or removal of certain features.

4. Account Registration and Access
To use the Service, the Customer must create an Account and provide accurate information.
The Customer is responsible for maintaining the confidentiality of its login credentials and for all activities under its Account.
Sanso may suspend or terminate access if it detects misuse, security breaches, or violations of these Terms.

5. Subscription Plans and Payments
Access to the Service is offered through Subscription plans. Each plan’s features and pricing are described on the Sanso website or in the Customer’s proposal or invoice.
Subscriptions automatically renew for successive periods unless cancelled before the current period ends.
Fees are expressed and payable in the currency specified at the time of purchase or on the invoice issued to the Customer.
Payment may be made by credit card or bank transfer, as indicated during checkout or on the invoice.
Late or failed payments may result in suspension of the Service.
Sanso reserves the right to update prices at renewal, with prior notice to the Customer.

6. Free or Promotional Offers
Sanso may offer free or discounted trial periods or promotional access for certain plans.
The terms and duration of such offers will be specified at the time of subscription.
Unless otherwise stated, trial access automatically converts to a paid Subscription if not cancelled before the trial ends.

7. Customer Data and Privacy
All Customer Data processed through the Service remains the property of the Customer.
Sanso acts as a data processor for such data and processes it only to provide and improve the Service.
The processing of personal and financial data is governed by Sanso’s Privacy Policy, available at https://www.sanso.ai/en/legal/privacy_policy.
By using the Service, the Customer agrees to that Privacy Policy.

8. Third-Party Services and Integrations
The Service may integrate with or rely on third-party providers such as Google Workspace, Pennylane, QuickBooks, or other software.
Sanso is not responsible for:
- the operation, availability, or content of Third-Party Services;
- any changes, disruptions, or data loss caused by such services;
- the Customer’s compliance with the terms of those services.
Each Third-Party Service is governed by its own terms and privacy policies.

9. Intellectual Property
All intellectual property rights in the Service, including its code, algorithms, AI models, designs, and documentation, are and remain the exclusive property of Sanso or its licensors.
The Customer retains ownership of all Customer Data it uploads or connects to the Service.
By using the Service, the Customer grants Sanso a limited, non-exclusive, revocable license to process that data solely to provide the Service.
No transfer of ownership occurs through these Terms.

10. Confidentiality and Security
Sanso will take reasonable technical and organizational measures to protect Customer Data against unauthorized access, loss, or alteration.
However, the Customer acknowledges that no system can be completely secure.

11. Use of the Service
The Customer agrees not to:
- use the Service for any unlawful or fraudulent purpose;
- attempt to copy, decompile, or reverse-engineer the Service;
- upload or connect data without having the right to do so;
- use the Service in a way that may harm Sanso or other users.
Sanso reserves the right to suspend or terminate access in case of breach of these obligations.

12. Disclaimers
The Service is provided “as is” and “as available.”
Sanso does not warrant that the Service will be error-free, uninterrupted, or suitable for any particular accounting or tax purpose.
The Customer remains solely responsible for verifying the accuracy and completeness of financial information generated or processed through the Service.

13. Limitation of Liability
To the fullest extent permitted by law, Sanso shall not be liable for:
- indirect, incidental, special, or consequential damages;
- loss of profits, business, or data;
- errors arising from third-party systems or integrations.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Term and Termination
The Agreement remains in force as long as the Customer maintains an active Subscription.
The Customer may cancel their Subscription at any time from their account settings or by written notice. Cancellation becomes effective at the end of the current billing period. Fees paid are non-refundable, and partial periods are not credited, except as required by applicable law or as expressly stated in a separate written agreement with Sanso.
Sanso may terminate or suspend access if the Customer breaches these Terms, fails to pay fees, or uses the Service in a way that could harm Sanso or others.
Upon termination, Customer Data will be deleted in accordance with Sanso’s Privacy Policy.

15. Modifications to the Service
Sanso may improve, update, or discontinue parts of the Service at any time, provided that such changes do not materially degrade the Service’s core functionality without reasonable notice.

16. Governing Law and Dispute Resolution
These Terms shall be interpreted and enforced in accordance with generally accepted principles of international contract law, unless otherwise required by mandatory local law.
If a dispute arises, the parties shall first attempt to resolve it amicably through good-faith discussions before considering formal proceedings.
